Off-market property: what it is and how a discreet sale works

Not every property for sale in Lisbon appears on the portals. Some transactions take place away from the open market, between an owner who values privacy and a small group of buyers. This is what is known as the off-market segment.

What off-market properties are

An off-market property is for sale but is not publicly advertised: there is no portal listing, no shop-window display and no social media post. Information circulates only between the agency, the owner and buyers or investors who have already shown interest and the means to proceed.

Portugal has no specific legal regime for these sales. The transaction is like any other — the same documents, the same promissory contract, the same deed and the same taxes. What changes is how the property is marketed.

Off-market in Lisbon commonly includes high-end houses and apartments, buildings for refurbishment, plots with building rights and income-producing assets, such as office buildings or groups of units.

Why owners choose a discreet sale

The most common reason is privacy. Some owners do not want their home, address or price on public display — for security, for family reasons, or because the sale is part of a wider restructuring of their assets that they prefer to keep confidential.

There are market reasons too. A property that sits on a portal for months gathers views without results and starts to look hard to sell, which weakens the owner's negotiating position. A discreet sale lets the owner test the price with qualified buyers without leaving that public trail.

Finally, there is time and disruption: fewer viewings from the merely curious, less disturbance for those living there or for the tenants of a building, and conversations only with people whose financial capacity has been demonstrated.

Why investors look for off-market property

For buyers, the attraction is access. Some opportunities never reach the open market because they are first presented to those who can decide quickly. An investor with clear criteria — location, property type, budget, target return — and financing in place is better placed to receive them.

There is also less competition at the point of decision. That does not mean buying below market value, but it does mean negotiating with time and full information, without the pressure of several offers at once.

When an off-market sale is worth considering:
  • High-value homes where privacy matters
  • Tenanted buildings or occupied homes
  • Development land and income-producing assets
  • Inheritances, divisions of property and asset restructuring
  • Testing the price without a public listing
  • Assets aimed at professional investors

How it works for the seller

The process starts with a valuation. The owner signs a brokerage agreement, which the law requires to be in writing, and agrees with the agency how much confidentiality is needed: what information can be shared, with whom and at what stage.

The agency prepares a property dossier — documents, floor plans, photographs and, where relevant, income figures — and presents it only to buyers whose profile matches the property. The first presentation is often anonymous, with no exact address or owner identity, and further details are released only after a confidentiality agreement.

How it works for the buyer

Buyers start by introducing themselves: what they are looking for, for what purpose, with what budget and how they will finance it. A rigorous agency asks for this because it can only present reserved opportunities to buyers with a clear, verified profile.

From there the sequence is the usual one: review of the dossier, viewing, offer, promissory contract and deed. The difference lies in the pace and the confidentiality with which it all happens.

Limits and precautions

Selling off-market does not remove the need for a well-supported price. Without the exposure of a portal, the owner loses one way of gauging demand, so the price has to be backed by data: comparable transactions in the area, values per square metre and, for income-producing assets, the return a buyer can achieve. A price without that basis deters precisely the best-informed buyers.

Discretion does not reduce the agency's obligations either. Portugal's real estate brokerage law (Law 15/2013) requires the agency to confirm that the parties have the capacity and standing to contract, to present the property accurately and clearly, and to report immediately any fact that could jeopardise the deal.

The same applies to anti-money laundering rules. Firms carrying out real estate activities are subject to Law 83/2017 and must identify their clients, their representatives and beneficial owners and apply due diligence to them, as a rule before the promissory contract or the deed. In an off-market deal these procedures are exactly the same.

For the owner, the main limitation is reach: with fewer buyers seeing the property, the sale may take longer. A sound strategy sets a timeframe from the start, and the point at which, if it makes sense, the property moves to the open market.
